Terms of Service

The service contract between Timeveo and your business.

Version 1.0Effective: 20 August 2026

This is a courtesy translation. The German version prevails: Deutsche Fassung.

1. Scope and contracting parties

1.1 These terms govern the provision of the Timeveo software for use over the internet (software as a service) by roblens Media (hereinafter “Timeveo”) to the customer. Full provider details are in the Imprint.

1.2 The offering is directed exclusively at entrepreneurs within the meaning of section 14 BGB (German Civil Code), at legal entities under public law and at special funds under public law. It is not directed at consumers.

1.3 The contract is concluded when the customer completes registration and Timeveo provides the account. By completing registration the customer confirms having read and accepted these terms and the Data Processing Agreement.

1.4 Deviating or supplementary terms of the customer do not become part of the contract, even if Timeveo does not expressly object to them.

2. Subject matter of the service

2.1 Timeveo provides the customer with a multi-tenant application for appointment booking and business management. Depending on the plan booked, the scope covers online appointment booking, calendar and staff planning, customer management, notifications by email and SMS, point-of-sale and payment functions, and reporting.

2.2 The functional scope owed is defined by the description of the plan booked at the time the contract is concluded.

2.3 Timeveo develops the application continuously. Functions may be added, changed or replaced as long as the contractual benefit for the customer is preserved. Timeveo announces any material reduction of the functional scope at least six weeks in advance in text form; in that case the customer may terminate with effect from the date the change takes effect.

2.4 Timeveo owes the provision of the software, not a commercial outcome. In particular, no specific booking volume and no specific utilisation are owed.

2.5 Connecting third-party services, such as payment providers, providers of technical security devices or messaging services, requires the customer’s own contract with the respective provider. Timeveo is not liable for their availability or performance.

3. Registration and account

3.1 The customer provides truthful and complete information on registration and keeps it up to date, in particular contact and billing details.

3.2 Access credentials are to be kept confidential and protected against third-party access. If unauthorised access is suspected, the customer informs Timeveo without undue delay. Timeveo recommends enabling two-factor authentication.

3.3 The customer creates accounts for its staff itself and assigns their permissions. Actions taken by those accounts are attributable to the customer.

4. Customer obligations

4.1 The customer uses the application only within applicable law and ensures that the content it uploads does not infringe third-party rights.

4.2 The customer is responsible for its own client-facing legal texts, in particular the privacy notice of its booking page and its cancellation and no-show terms. The allocation of responsibilities is explained on Responsibilities.

4.3 The customer is responsible for the legal basis for sending marketing messages to its clients, in particular the requirements of section 7 UWG. Timeveo merely provides the technical means and consent management.

4.4 If the customer uses the point-of-sale functions, it is responsible for meeting its tax duties, in particular under KassenSichV, AO and GoBD, including notifying the tax office of the electronic recording systems used and retaining till data properly. Timeveo provides the technical connection to a certified technical security device and the DSFinV-K export.

4.5 Prohibited in particular are sending unsolicited advertising through the application, circumventing or testing security measures without prior written consent, automated extraction of content at a scale that impairs operations, and reverse engineering the software beyond the mandatory limits of sections 69d and 69e UrhG (German Copyright Act).

4.6 The customer indemnifies Timeveo against third-party claims arising from a culpable breach of the obligations in this section 4, including reasonable costs of legal defence.

5. Fees and billing

5.1 The prices of the plan booked apply. All prices are exclusive of statutory VAT.

5.2 Billing is in advance for the chosen billing period, monthly or annually. Payment is collected through the payment provider Stripe. Invoices are provided electronically.

5.3 If the customer falls into arrears, Timeveo may suspend access after an unsuccessful reminder with a reasonable deadline. The payment obligation continues during suspension. Statutory default claims remain unaffected.

5.4 Timeveo may change prices with at least six weeks’ notice, effective from the start of the next billing period. Notice is given in text form. If the price increases, the customer may terminate the contract with effect from the date the increase takes effect.

5.5 Costs incurred by the customer with third parties, such as payment provider transaction fees, charges for SMS delivery or for the technical security device, are borne by the customer directly towards the respective provider.

6. Availability and support

6.1 Timeveo provides the application with the diligence of a prudent business. No specific service level is currently agreed; one may be agreed separately.

6.2 Timeveo announces planned maintenance in advance where possible and schedules it during low-usage hours where possible. Periods in which the application is unreachable for reasons outside Timeveo’s control, such as internet disruptions or force majeure, do not count as unavailability.

6.3 Timeveo provides support by email in German and English on business days.

7. Data protection and processing on behalf

7.1 Where Timeveo processes personal data on behalf of the customer, the Data Processing Agreement applies. It forms part of this contract and is incorporated in text form on completion of registration.

7.2 The customer grants the general authorisation to engage the subprocessors named in the subprocessor list. Timeveo announces changes in accordance with the DPA.

7.3 For processing Timeveo carries out on its own responsibility, the Privacy Policy applies.

8. Rights in the software and in the data

8.1 For the term of the contract the customer receives a simple, non-exclusive, non-transferable and non-sublicensable right to use the application as intended. No further rights, in particular in the source code, are granted.

8.2 Data uploaded by the customer remains the customer’s data. Timeveo uses it solely to provide the contractual services.

8.3 Timeveo may evaluate anonymised metrics that cannot be traced back to the customer or to individuals in order to improve and secure the service.

9. Term and termination

9.1 The contract runs for an indefinite period and renews for the chosen billing period.

9.2 Either party may terminate with one month’s notice to the end of the current billing period. Termination requires text form; terminating through the account settings is sufficient.

9.3 The right to extraordinary termination for cause remains unaffected for both parties. Cause for Timeveo exists in particular in the event of a material breach of the obligations in section 4 that is not remedied despite warning, and in the event of payment arrears exceeding two billing periods.

9.4 In the event of a material and acute threat to operations or to the data of other customers, Timeveo may suspend access with immediate effect and shall inform the customer without undue delay.

10. Data export and deletion at the end of the contract

10.1 During the term the customer may export its data at any time through the application’s export functions.

10.2 After the contract ends, export remains possible for 30 days. Timeveo then deletes the data in accordance with section 11 of the DPA.

10.3 Statutory retention duties remain unaffected. In particular, till, invoice and accounting data subject to statutory retention periods are deleted only after those periods expire and are restricted in processing until then.

11. Liability

11.1 Timeveo is liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent of any guarantee given.

11.2 In cases of simple negligence Timeveo is liable only for breach of a material contractual obligation, meaning an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance the customer may regularly rely. In that case liability is limited to the foreseeable damage typical for this type of contract at the time of conclusion.

11.3 For loss of data Timeveo is liable within the limits of section 11.2 only up to the expense that would have been required for restoration had the customer maintained proper and regular backups.

11.4 Any further liability is excluded. Strict liability for defects existing at the start of the contract under section 536a(1) BGB is excluded.

11.5 The above limitations also apply in favour of Timeveo’s legal representatives and vicarious agents.

12. Changes to these terms

12.1 Timeveo may amend these terms where necessary to adapt to a changed legal situation, to supreme court case law, or to changed technical or economic conditions, and where this does not unreasonably disadvantage the customer.

12.2 The change is communicated to the customer in text form at least six weeks before it is intended to take effect. If the customer does not object before it takes effect, the change is deemed accepted. Timeveo points this consequence out separately in the notice. If the customer objects, either party may terminate the contract with effect from the date the change takes effect.

12.3 Superseded versions remain available in the archive.

13. Final provisions

13.1 German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

13.2 The exclusive place of jurisdiction for all disputes under this contract is Timeveo’s registered office, provided the customer is a merchant, a legal entity under public law or a special fund under public law.

13.3 Timeveo is neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration body. The offering is directed exclusively at entrepreneurs.

13.4 Should any provision of these terms be or become invalid, the validity of the remaining provisions remains unaffected.

13.5 The language of the contract is German. Translations are for information only; in case of doubt the German version prevails.
